The bond's overall issue price is about EUR 15.8 million nominally, with maturity in 2013. The issue price includes a premium (agio) of about 25 %, yielding a cash inflow of about EUR 19.7 million. The conversion price, including an additionally agreed premium, was fixed at EUR 6.58 per SYSTAIC share. The earliest date for conversion is 28 September 2009. The convertible debentures are offered for subscription to shareholders of systaic AG only. The subscription ratio is 73:1. Subscription rights are not available for trading. The rights offer will be published in the electronic Federal Gazette on 24 August 2009. Unsubscribed convertible debentures will be privately placed.
